1. ACCEPTANCE OF TERMS

cPanelBackup.com provides its service to you, subject to the following Terms of Service ("TOS"), which may be updated by us from time to time without notice to you. You can review the most current version of the TOS at any time at: www.cpanelbackup.com/tos.html

2. DESCRIPTION OF SERVICE

cPanelBackup.com offers backup solutions for websites running cPanel software.
cPanelBackup.com utilizes a php script in order to automate the task of cPanel backups. 
If supplied with login information, cPanelBackup.com will keep your login information safe at all times, and access to your cPanel will only be used to install the script.

3. CONTENT RESTRICTION

cPanelBackup.com will refuse service to any websites containing the following content:
Illegal MP3's, software, Appz, Warez, porn, or any illegal files.
cPanelBackup.com has the right to refuse service to anyone.

4. PAYMENT POLICIES

All accounts are billed on a month to month basis. All pricing is guaranteed for the term of monthly payments. The customer is responsible for all money owed on the account from the time it was established to the time that the customer notifies cPanelBackup.com by email (billing@cpanelbackup.com) requesting termination of services. All payment is in U.S. currency. cPanelBackup.com will bill each client $10 per returned check and $20 per wire transfer received.

5. CANCELLATION

cPanelBackup.com reserves the right to cancel service at any time. All fees paid in advance of cancellation will be pro-rated and paid by cPanelBackup.com if cPanelBackup.com institutes it's right of cancellation. Any violation of policies which results in extra costs will be billed to the customer.

6. LAWFUL PURPOSE

cPanelBackup.com reserves the right to refuse service to anyone. Customers may only use cPanelBackup.com for lawful purpose. Transmission of any material in violation of any Federal, State or Local regulation is prohibited. This includes, but is not limited to copyrighted material, material legally judged to be threatening or obscene, and material protected by trade secrets. The designation of any materials as such described above is left entirely to the discretion of cPanelBackup.com management. Regardless of the place of signing this agreement, the client agrees that for purposes of venue this contract was entered into in Arlington, MA, and any dispute will be litigated or arbitrated in Arlington, MA, The parties waive any objection based on inconvenient forum in the context any manner of dispute resolution commenced within the County of Essex.

CUSTOMER AGREES THAT IT SHALL DEFEND, INDEMNIFY, SAVE AND HOLD CPANELBACKUP.COM HARMLESS FROM ANY AND ALL DEMANDS, LIABILITIES, LOSSES, COSTS AND CLAIMS, INCLUDING REASONABLE ATTORNEY'S FEES ASSERTED AGAINST CPANELBACKUP.COM, ITS AGENTS, ITS CUSTOMERS, OFFICERS AND EMPLOYEES, THAT MAY ARISE OR RESULT FROM ANY SERVICE PROVIDED OR PERFORMED OR AGREED TO BE PERFORMED OR ANY PRODUCT SOLD BY CUSTOMER, IT'S AGENTS, EMPLOYEES OR ASSIGNS. CUSTOMER AGREES TO DEFEND, INDEMNIFY AND HOLD HARMLESS CPANELBACKUP.COM AGAINST LIABILITIES ARISING OUT OF; (1) ANY INJURY TO PERSON OR PROPERTY CAUSED BY ANY PRODUCTS SOLD OR OTHERWISE DISTRIBUTED IN CONNECTION WITH CPANELBACKUP.COM (2) ANY MATERIAL SUPPLIED BY CUSTOMER INFRINGING OR ALLEGEDLY INFRINGING ON THE PROPRIETARY RIGHTS OF A THIRD PARTY; ( 3) COPYRIGHT INFRINGEMENT
